If your C-Corporation needs extra time to file its tax return, you can request an extension by filing IRS Form 7004, Automatic Extension of Time to File Certain Business Income Tax, Information, and Other Returns.
Form 7004 must be filed by the original due date of your corporate income tax return (Form 1120) to receive an automatic filing extension.
⚠️ Important: Filing Form 7004 only extends the time to file, not the time to pay. Any taxes owed are still due by the original due date. The IRS will charge interest and possible penalties on unpaid taxes.
If a C-Corporation files its tax return late without an approved extension, the IRS can assess a late filing penalty:
5% of the unpaid tax for each month (or part of a month) the return is late
Maximum penalty: 25% of the unpaid tax
If the return is over 60 days late, the minimum penalty is the lesser of $510 or 100% of the unpaid tax (for 2024 returns)
When both late filing and late payment penalties apply, the late filing penalty is reduced by the late payment amount
If your corporation files on time but doesn’t pay all taxes owed, the IRS may charge a late payment penalty of:
0.5% (½ of 1%) of the unpaid tax per month
Up to a maximum of 25% of the unpaid tax
Paying as much as possible by the original due date helps limit penalties and interest charges.
The IRS may waive penalties if your C-Corporation can show reasonable cause for filing or paying late.
Common examples of reasonable cause include:
Natural disasters or extreme weather events
Serious illness, death, or unexpected emergencies
Circumstances outside the corporation’s control
In some cases — such as federally declared disasters — the IRS may automatically extend deadlines for affected businesses.
